PLEASE READ ALL OF THE FOLLOWING TERMS AND CONDITIONS OF THIS WEBSITE/APP BEFORE USING THIS SITE/APP.
This document constitutes an electronic record under the Information Technology Act, 2000, and the rules made thereunder, as applicable, including the amended provisions relating to electronic records under various statutes. These Therapist App Terms & Conditions (“Terms”) govern access to the Soulthing therapist/vendor app, related web tools and booking functions operated by Soulhealth Tech Private Limited (“Soulthing”, “Company”, “we”, “us” or “our”), having its registered office at A 13 A, Block A, Industrial Area, Sector 62, Noida, Uttar Pradesh, 201309, through its website and, upon launch, its customer mobile application (collectively referred to as the “Platform”). These Terms constitute a legally binding agreement between the Company and any person who accesses or uses the Platform or avails of its services (“You”). By applying, signing the applicable Therapist Engagement Agreement or employment agreement, accepting an assignment, or using the therapist app, you agree to these Terms and the Therapist Privacy Policy. These Terms supplement, and do not replace, the separate employment agreement or Therapist Engagement Agreement applicable to you. If there is a conflict, mandatory law and the applicable signed agreement govern the relevant employment or engagement issue; these Terms govern platform use to the extent consistent with those documents.
COMPANY MODEL AND ENGAGEMENT STATUS
Soulthing operates a platform that coordinates home-visit therapy and wellness services. Some therapists are engaged as independent practitioners under a Therapist Engagement Agreement; others are employed by the Company. Your legal status, remuneration, working hours, statutory benefits, notice period and other engagement terms depend on the agreement and applicable law. An independent therapist must not represent themselves as an employee, partner or agent of Soulthing unless expressly authorised. A salaried employee must follow their employment terms and applicable Company policies. Nothing in these Terms determines employment status contrary to the actual relationship or applicable law.
ELIGIBILITY, QUALIFICATION, AND VERIFICATION
You may use this app only after completing the onboarding and verification process and receiving approval. Verification timelines depend on completeness of documents, responses from verification sources, and operational requirements. Any indicative timeline is not a guarantee of approval. You must provide accurate identity, address, PAN, photograph, qualifications, professional registration, experience, background verification information, bank details and GSTIN if registered, together with the signed agreement and any other reasonably required documents. You authorise the Company to verify relevant credentials with issuing authorities or verification providers, subject to applicable law. You must maintain all licences, registrations, qualifications, training and certifications required for each service you deliver, promptly disclose any suspension, restriction, complaint or change affecting your eligibility, and not provide a service beyond your competence or lawful scope. Approval to use the platform is not a guarantee of future assignments
ACCOUNT SECURITY AND DEVICE USE
Therapist sign-in is intended to use a one-time SMS code. Keep your device secure, do not share OTPs or login access, and immediately report suspected account compromise. You must not allow another person to use your account or accept/complete a session under another practitioner’s identity. The Company may suspend access immediately where required to protect customers, practitioners, platform security or the integrity of an investigation. Suspended or terminated accounts may be blocked from further requests, without extinguishing lawful payment, recordkeeping or dispute obligations.
BOOKINGS, AVAILABILITY, AND ASSIGNMENTS
The app may show assigned bookings, service details, scheduled time, customer first name, visit address and map location released at dispatch, and information relevant to the booked service. The matching process may consider service capability, availability, customer preferences, location and other operational requirements. Assignment availability may vary by service area and time. Soulthing may offer customers multi-session packages under which the customer pays for multiple sessions in one transaction and schedules the first session during checkout, while scheduling remaining sessions later. You may receive assignments for one or more sessions forming part of such a package. Each session is a separate appointment and must be reviewed, accepted or declined, attended, and updated through the app in accordance with the applicable workflow and your availability. For each package session, the customer may request you again or choose another available therapist. You must not represent that you are guaranteed to receive every session in a package or make private arrangements to reserve, reschedule, or deliver package sessions outside the platform. If you are unavailable, cannot attend, or believe the assigned session is outside your competence or presents a safety concern, promptly update the app where available and notify Soulthing through the prescribed channel so that reassignment or rescheduling can be considered. You must review assignment details, confirm availability through the app where that function is enabled, and promptly notify Soulthing if you cannot attend. Do not accept or continue an assignment that conflicts with your qualifications, availability, safety, or professional obligations. Dispatch is intended to occur approximately one hour before the session. Do not access, retain, or use a customer’s address or contact information for any purpose unrelated to the assigned booking.
CUSTOMER PRIVACY AND CONFIDENTIALITY
Customer information, including addresses, symptoms, medical history, AI screening information, session notes, photographs, reports and contact details, is confidential. Access only the information necessary to provide the assigned service. Do not download, photograph, screenshot, copy, export, disclose, or retain customer information outside approved workflows unless expressly authorised or legally required. Customer calls may be routed through Exotel number masking, and the app is intended not to reveal the customer’s phone number. Do not attempt to identify, store, or obtain a customer’s personal contact details outside the platform. Do not contact a customer after the assignment for personal purposes, solicit off-platform bookings, market unrelated products, disclose customer information to another practitioner without authorisation, or use customer data for AI training, marketing or personal records. Report any suspected disclosure or data incident immediately.
PROFESSIONAL CONDUCT AND SERVICE DELIVERY
Deliver only the service assigned and within your qualifications, registration, competence and applicable professional standards. Follow the Company’s service SOPs, hygiene and safety procedures, informed-consent requirements and documentation standards. Explain the nature of the service and obtain appropriate consent before beginning. Respect dignity, privacy, gender preferences and reasonable boundaries. Do not engage in harassment, discrimination, sexual misconduct, threats, violence, unauthorised recording, substance-impaired practice, fraud or any other conduct inconsistent with professional standards. Do not provide emergency care, make diagnoses, prescribe medicines or provide services outside your authorised scope. Ayurveda practitioners may provide guidance only within their lawful scope and registration. If a customer presents with red flags, a suspected emergency, a contraindication, or a condition requiring medical evaluation, do not proceed where unsafe; advise the customer to seek appropriate medical care and notify Soulthing through the prescribed channel. For child or infant sessions, verify that the parent or lawful guardian is present throughout, confirm consent, and follow service-specific safeguards. Do not conduct a session for a minor without the required guardian involvement.
IDENTITY AND SESSION OTP
Carry or display the identification provided or approved by Soulthing and ensure the customer can match your identity to the therapist profile. The session must not start until the customer shares the start OTP through the approved process. Do not ask the customer to share the OTP before you arrive or if the identity match is uncertain. Record the session accurately, including relevant observations, service delivered, duration, recommendations within your scope, and any incident or refusal to proceed. Do not fabricate, backdate or alter a session report to secure payment.
SESSION NOTES AND RECORDS
Complete session notes and reports promptly and accurately using the approved app or system. Records must be factual, professional, relevant and respectful. Do not include unnecessary personal opinions or unrelated sensitive information. Session notes may be shared with the customer and authorised Company personnel or, where necessary for continuing care, an appropriately assigned practitioner subject to access controls and applicable consent/privacy requirements. Do not independently promise deletion or provide records outside the approved process. For every session assigned under a multi-session package, update the session status accurately in the app in accordance with the approved workflow, including whether the session was completed, cancelled, rescheduled, or could not proceed. Do not mark a session as completed unless the service was actually delivered and the applicable verification process has been followed. Promptly complete the session notes and report for each delivered session so that the customer’s available package status and records can be updated. You may access only the customer history, prior session notes or reports that are made available to you through authorised platform functionality and are reasonably necessary for the assigned session and continuity of care. Use such information only for professional service delivery, keep it confidential, and do not independently download, copy, disclose, or retain it outside approved workflows. Any notes or reports must be accurate, relevant, and entered through the approved app or system. Report any injury, adverse event, complaint, safety concern, suspected misconduct, incorrect record or unauthorised access promptly through the incident-reporting process.
FEES, COMMISSION, PAYOUTS AND TAXES
Employee salary and benefits are governed by the employment agreement and applicable law. Freelance remuneration is commission-based under the applicable Therapist Engagement Agreement and commission schedule. The Company may collect bank details, PAN and GSTIN where applicable, process payments and make deductions required by law. The Company may deduct tax at source or make other statutory deductions where required under applicable law. The rate and treatment depend on the applicable tax provisions and the nature of the payment. You must provide accurate tax information, issue invoices where legally required, maintain your own tax compliance where applicable, and notify the Company of changes in bank, PAN or GST registration details. Payment disputes should be raised through the designated support channel.
PROFESSIONAL LIABILITY, INSURANCE AND INDEMNITY
You remain responsible for your own professional judgement, conduct, qualifications, consent process, records and manner of service delivery. Soulthing remains responsible for its own acts, omissions, platform obligations and duties imposed by law. The allocation of responsibility does not excuse negligence, misconduct or breach by any party. You must maintain any professional indemnity or other insurance that is expressly required by your applicable engagement agreement, professional regulator or law, and provide evidence when reasonably requested. Nothing in these Terms represents that Soulthing maintains insurance for a practitioner unless expressly stated in writing. Any indemnity must be limited to losses attributable to your breach, negligence, misconduct, unlawful act or violation of the engagement terms, subject to applicable law. Nothing in these Terms requires a therapist to indemnify Soulthing for Soulthing’s own negligence or non-excludable legal responsibility.
SAFETY, COMPLAINTS AND INVESTIGATION
Soulthing’s proposed approach is zero tolerance for serious misconduct, with immediate suspension during investigation where reasonably necessary. A complaint may be reviewed by the clinical lead for clinical issues or by operations for other issues. You must cooperate honestly with investigations, preserve relevant records, provide a factual response, and not retaliate against a complainant or witness. Soulthing may restrict assignments, suspend access, require retraining, reassign bookings or terminate engagement where justified by the evidence, applicable agreement and law. Where appropriate, incidents may be reported to authorities.
RATINGS, REVIEWS AND PERFORMANCE
Customer ratings, review tags, attendance, completion rates, cancellations, complaints, SOP compliance and other performance information may be used for quality assurance, allocation, coaching, incentives or engagement decisions, where such functionality is enabled and consistently applied with applicable law and the relevant engagement agreement. Do not manipulate reviews, pressure customers for favourable ratings, retaliate against customers, or publish customer information in response to a review. You may submit a factual response or dispute through the Company’s designated process.
PROHIBITED CONDUCT AND PLATFORM INTEGRITY
You must not falsify documents or session records, misrepresent qualifications, misuse OTPs, circumvent platform payments, solicit off-platform bookings using customer data, accept cash for a platform booking, share credentials, interfere with the app, scrape data, upload malware, manipulate availability or ratings, or use the platform for unlawful or unauthorised purposes. You must not collect direct payment from customers for a Soulthing booking unless the Company expressly authorises a particular arrangement in writing. Any customer complaint, payment issue or request for an extra service must be reported through approved channels.
SUSPENSION, TERMINATION AND POST-ENGAGEMENT DUTIES
Soulthing may suspend or terminate platform access for false information, expired or invalid credentials, serious or repeated complaints, misconduct, data misuse, fraud, failure to attend bookings, breach of SOPs or agreements, safety concerns, legal restrictions or other legitimate grounds. Where practicable, notice and an opportunity to respond will be provided; immediate protective suspension may be necessary. Upon termination or deactivation, you must cease accessing customer information, return Company property, stop representing yourself as active on the platform, and preserve or return records as directed. Confidentiality and data-protection duties continue after engagement ends. The Company may retain your records for lawful accounting, verification, safety, dispute and legal purposes in accordance with its retention policy.
INTELLECTUAL PROPERTY
The app, software, brand, logos, training materials, SOPs and Company content remain the property of the Company or its licensors. You receive a limited, revocable right to use them solely for authorised platform work. Ownership and permitted use of session reports, training materials, original content or other work product created during engagement will be governed by the applicable employment or Therapist Engagement Agreement and law. Do not copy or disclose confidential Company materials without permission.
LIMITATION, CHANGES, AND GOVERNING LAW
To the extent permitted under applicable law, Soulthing shall not be liable for any loss, damage, claim or liability arising solely from the independent professional acts, omissions, negligence or breach of obligations by a Therapist, without prejudice to any liability or responsibility attributable to Soulthing under applicable law or these Terms. Soulthing reserves the right to amend or update these Terms from time to time to reflect changes in its platform, services, operational requirements or applicable law. Any material amendments shall be communicated to you through the application or such other appropriate means as Soulthing may determine. Such amendments shall take effect in accordance with the notice provided and applicable law. These Terms shall be governed by and construed in accordance with the laws of India, subject to applicable employment laws and mandatory legal requirements concerning jurisdiction. Subject to the jurisdiction of any forum or authority that cannot lawfully be excluded, the courts of competent jurisdiction at Noida, Uttar Pradesh, shall have jurisdiction over disputes arising out of or in connection with these Terms. Any employment-related notice or dispute shall additionally be communicated to the person or address specified in the applicable employment agreement or engagement agreement, as the case may be.
